TERMS AND CONDITIONS OF REFER AND EARN PROGRAM

  1. Definition:

    PhonePe consumer app - means the mobile application of PhonePe Private Limited which is engaged in facilitation of online payments utilizing Unified Payment Interface (‘UPI’), internet banking, cards, etc and is also engaged in issuance of prepaid instruments under license from Reserve Bank of India.
    Share.Market - PhonePe Wealth Broking Private Limited (Brand Name, Entity Name) (hereinafter referred to as “Share.Market”, “We”, “Our”, “Us”)

  2. Who is a referrer?

    A referrer can be a: (a) ‘User’ of PhonePe consumer app and / or (b) who has registered with Share.Market using Phone Number & OTP and logged in once and / or is a customer of Share.Market (hereinafter referred to as “You”, “Your”, “Yourself”).

  3. Who is a referee?

    A person who opens a trading & demat account on Share.Market using the valid link of Referrer is termed as Referee.

    1. The referrer will get Rs 200 in the form of PhonePe eGV (electronic gift voucher) for every successful referral that initiates and successfully completes Share.Market Account Opening process* by clicking on the referrer’s unique referral link.

    2. Account Opening process*: Account Opening refers to fully activated Share.Market trading and demat account once UCC created at both the Exchanges.

    3. The referrer will receive the referral reward within 48 hrs after the referee has completed Account opening process. (one Referee = One PAN Number).

      A user can earn up to ₹9,999 reward in the PhonePe wallet per financial year (i.e. 1st April to 31st March) from offers disbursed on PhonePe. For Eg: If client has already availed PhonePe voucher of worth Rs. 2000 then client will be eligible for balance of Rs. 7999 in a remaining financial year upto 39 clients (rounded off to lowest number) in a financial year. (Rs. 7999/Rs.200)

      A user can also only earn a max reward of Rs 2,000 per calendar month, this capping is in addition to the yearly limit.

    4. The referee’s account should be opened within 30 days of login via the referral link

      1. ‘Login’ meaning direct login via Phone Number & OTP, to the Application/Website by the referee after clicking on the referral link

      2. Offer period ends on 30th June, 2025 i.e for any account activation after 30th June, 2025, referee will not get any benefit even if account activation is within 30 days of login via referral link

    5. If details of the referred client already exist in Share.Market database as an existing user, then it will not be considered under this scheme for referral reward and Share.Market reserves the right to exclude such accounts for calculation of referral rewards.

    6. Share.Market reserves the right to carry out checks and controls as it deems fit and proper, before the credit of referral reward to the referrer.

    7. This offer cannot be combined with any other offer.

    8. Share.Market reserves the right to amend this Program and these terms and conditions and even withdraw this Program, at any time without prior notice. The decision of Share.Market on all matters relating to, or in connection with the use of this offer shall be final and binding on all parties concerned.

    9. Share.Market reserves the right to offer Program to only certain users based on demographic (user’s region, state, device) and Program data (to cover abuse mentioned in points below), it also reserves the right to offer different referral bonus rates to referrers based on these attributes, with a fixed rate per referrer.

    10. The Refer and Earn Program (“Program”) shall be subject to force majeure events and on occurrence of such an event, the Program may be withdrawn at the discretion of Share.Market.

    11. The referring person should not undertake any form of selling/advisory activities in secondary market w.r.t securities and should not manage the portfolio of any person who is being referred. Further, the referring person should not undertake any kind of trade inducement activity with the person being referred and there should be no financial transaction between the referred client and the referring person under this program. The referring person further undertakes that he does not:

      1. provide advice or any recommendation, directly or indirectly, in respect of or related to a security or securities, without being registered with or otherwise permitted by SEBI to provide such advice or recommendation; or

      2. make any claim, of returns or performance expressly or impliedly, in respect of or related to a security or securities, without being permitted by SEBI to make such a claim.

    12. The referrer will not be eligible to receive Referral benefit if someone else has assisted the referred customer during account opening process

    13. You agree that the following activities are expressly prohibited and engaging in any of these will lead to initiation of legal and criminal action against You and also result in immediate termination and disqualification from the Program, forfeiture of existing referral invitations and accrued, but not yet received, referral rewards:

      1. Spam, bulk distribution of invitations, distribution to strangers or any other promotion of Share.Market Referral offer through invitations that would constitute or appear to constitute unsolicited commercial e-mail, SMS, publishing any article or content about Share.Market products, services etc.

      2. Advertisement of any kind in any form on any medium print, audio visual form, web etc including social media (Facebook, Twitter, WhatsApp, Instagram, YouTube etc) , or spam under any applicable law or regulation.

      3. Fraud, attempted fraud or abuse of the Share.Market Referral offer or these Terms & Conditions.

      4. Selling, trading, bartering or providing anything of value to your Referee beyond the referral invitation or otherwise using Your Rewards for promotional purposes.

      5. Organizing competition, contests online, posting content about Share.Market etc.

      6. Any act or omission resulting in damage to Share.Market in any form whatsoever in nature. If any referrer is registered or acting as Authorised Persons (A.P), SEBI Registered Portfolio Managers and Investment advisors then shall continue to be governed by the existing regulatory provisions including any changes issued from time to time.

    14. By participating in this Program, You agree to be bound by the terms and conditions of this policy, Terms of Use, Privacy Policy and any other relevant documentation that is available on PhonePe and Share.Market sites including any modifications, alterations or updates that We make.

    15. PhonePe or Share.Market shall not be liable for any product or service purchased using the eGV. This will strictly be the seller’s responsibility.

    16. Share.Market and PhonePe reserves the right to take any administrative and/or legal action including but not limited to termination of Your eligibility for the Program or terminate your User account, if You are found:

      1. Opening multiple accounts with different email addresses, for the same person/Yourself in order to generate additional eGV.

      2. Attempting to take unfair advantage of this policy

      3. Using false names, impersonating other people, or otherwise providing false or misleading information to Us.

    17. You are not bound in any way to participate in the Program and any such participation is voluntary.

    18. Investment in securities market are subject to market risks, read all documents and scheme related documents carefully before investing. The contents herein above shall not be considered as an invitation or persuasion to trade or invest. Share.Market and its affiliates accept no liabilities for any loss or damage of any kind arising out of any actions taken in reliance thereon.

    19. In case the same referee is referred by multiple Referrers the one who has referred last will be entitled for the referral benefit.

    20. This "Refer and Earn" program is strictly meant for PhonePe Users. Hence, all employees (and their immediate family members) of PhonePe Wealth Broking Pvt Ltd and PhonePe India Pvt. Ltd. are not eligible for this "Refer & Earn" program.

    21. Share.Market reserves the right to restrict definition of Referee to certain platforms like mobile or web as per its discretion at any time with priority intimation to Referrers though TnC and Referral page, for example: Referrer will only get reward for accounts opened through only the app platform

    22. You hereby understand and agree that in order to participate in this Program, You may be required to submit personal information about You and the customers You refer, such as name, mobile number, etc. You further agree to receive communications from Us with regard to Your participation in the Program. Any information collected from You or the referred customers as part of the Program shall be subject to Share.Market and PhonePe’s Privacy Policy.

  4. Other terms and conditions

    1. This Program is applicable on Users(Referrer) using the PhonePe mobile app
    2. Incentive gift vouchers can be used for recharges, bill payments and payments on PhonePe partner platforms/stores and shall be governed by PhonePe terms & conditions.
    3. Incentive gift vouchers cannot be withdrawn to any linked bank account or transferred to other Users.
    4. PhonePe and Share.Market reserves the right to award offers and related benefits as per internal policy(ies) decided by PhonePe from time to time.
    5. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms and Conditions, or the rights and obligations of Users and PhonePe in connection with this Program shall be governed by and construed in accordance with the laws of India and the courts at Bangalore shall have exclusive jurisdiction in respect of any matter or dispute connected with this Program. Any disputes / grievances arising out of this Program shall not be covered under investor protection or grievance redressal measures of the Stock Exchanges or Depository.
    6. By participating in this Program, the User agrees:
      1. to be bound by these Terms and Conditions and the decisions of Share.Market shall be final and binding in such regard; and
      2. to hold harmless and indemnify PhonePe and Share.Market, its subsidiaries, affiliates and advertising and promotion agencies and all their respective officers, directors, employees and agents (the “Indemnified Parties”) against any liability, for any injuries, losses or damages of any kind, including death, to persons, or property resulting in whole or in part, directly or indirectly, from participation in this Program or acceptance, use or misuse of any incentive amount therein.
