Ashok Soota is selling a major chunk of his tech brainchild, Happiest Minds Technologies, to ITC’s IT arm, ITC Infotech. But this isn’t just a simple buyout, it’s a massive consolidation play to create India’s 11th largest listed IT powerhouse.
The Two-Step Deal Structure
ITC Infotech is executing a two-step structure to combine the businesses:
- The Cash Handshake: ITC Infotech is spending ~₹1,330 crore to acquire a 22.1% promoter stake directly from Ashok Soota and Ashok Soota Medical Research LLP across two cash tranches (at ₹390 and ₹400 per share). Parent conglomerate ITC Ltd is funding this acquisition via a rights issue in ITC Infotech.
- The Big Swap: Happiest Minds will merge into ITC Infotech. For every 81 equity shares of Happiest Minds (face value ₹2), its share holders will receive 25 equity shares of ITC Infotech (face value ₹10), representing a swap ratio of 1:3.24 in reverse.
- Dissolution & Debt Payoff: Happiest Minds will be dissolved without winding up. Its outstanding Non-Convertible Debentures (NCDs) will be fully redeemed by September 26, 2026, and its registered office will shift from Karnataka to West Bengal.
- Listing & Shareholding: Following dissolution, the newly combined ITC Infotech will list on the BSE and NSE. ITC Ltd will hold ~73.4%, Happiest Minds public shareholders will hold ~19.0%, and Soota’s group will retain ~7.6% (reclassified as public).

In IT services, scale influences contract size. Fortune 500 procurement teams rarely award multi-year digital transformation contracts to mid-tier vendors. Reaching a $1 billion annual revenue run-rate (targeted by FY28) provides the combined entity operational leverage.
- Geographic Balance: Happiest Minds derives 59% of revenue from the US, while ITC Infotech generates 42% from Europe. Combined, they establish a balanced global footprint (38% Americas, 31% Europe, 31% Rest of World).
- “Build + Run” Synergies: Happiest Minds provides “Build” capabilities (GenAI, Digital Product Engineering, Cybersecurity), while ITC Infotech supplies core enterprise “Run” capabilities (SAP, PLM, Supply Chain).
This transaction enables cross-selling high-margin digital solutions across an expanded base of 800+ global enterprise clients.
